Please read these Terms of Service carefully before using Truck Relay's dispatch services. These terms govern your use of our services and establish the rights and responsibilities of all parties.
Introduction & Acceptance of Terms
Welcome to Truck Relay! These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Carrier" or "Client") and Truck Relay ("Company," "we," "us," or "our") regarding your use of our dispatch services.
By engaging our services, creating an account, or otherwise accessing our dispatch services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
If you do not agree to these Terms in their entirety, you are not authorized to use our services and must discontinue use immediately.
Eligibility & Carrier Requirements
Basic Eligibility
To use our dispatch services, you must:
- Be at least 21 years of age
- Have the legal authority to enter into this agreement
- Be a licensed commercial carrier or owner-operator
- Operate within the United States and its territories
Required Documentation & Certifications
All carriers must maintain and provide proof of:
- Valid DOT number with satisfactory safety rating
- Active Motor Carrier (MC) authority
- Current commercial vehicle insurance meeting federal minimums ($1M+ liability)
- Cargo insurance appropriate for transported goods
- Valid commercial driver's license (CDL) for all drivers
- Current vehicle registration and inspection certificates
- Workers' compensation coverage (where required)
Ongoing Compliance Requirements
Carriers must maintain compliance with:
- All FMCSA safety regulations and hours of service rules
- State and federal transportation laws
- Drug and alcohol testing programs
- Electronic logging device (ELD) requirements
- Regular vehicle maintenance and safety inspections

Dispatch Services Provided
Truck Relay provides comprehensive dispatch services including:
- Load search and booking through established broker networks
- Rate negotiation on behalf of carriers
- Load confirmation and documentation management
- Route planning and optimization
- 24/7 dispatch support and communication
- Broker relationship management
- Invoicing and billing support
- Compliance documentation assistance
- Market rate analysis and consultation
Service Standards
We commit to:
- Professional representation of your services to brokers and shippers
- Timely response to carrier inquiries and emergency situations
- Accurate documentation and record-keeping
- Confidential handling of all carrier information
- Continuous improvement of service offerings
Carrier Responsibilities
Operational Responsibilities
As a carrier using our services, you are solely responsible for:
- Safe operation of all vehicles and equipment
- Timely pickup and delivery of all accepted loads
- Compliance with all applicable transportation regulations
- Driver management, training, and oversight
- Vehicle maintenance and safety inspections
- Fuel, tolls, and all operational expenses
- Cargo securement and handling procedures
- Communication of delays, issues, or emergencies
Information Accuracy
You agree to provide accurate, complete, and current information regarding your business, equipment, insurance, and operations. You must promptly notify us of any changes that may affect service delivery or compliance status.
Professional Conduct
You agree to maintain professional standards in all interactions with brokers, shippers, receivers, and our dispatch team. Unprofessional conduct may result in immediate service termination.
Payment Terms
Service Fees
Dispatch service fees are calculated as follows:
- Percentage-based fees calculated on gross load revenue
- Rates vary by equipment type and service level selected
- No setup fees or upfront costs required
- Fees are earned upon load completion and confirmed delivery
Payment Processing
Payment terms include:
- Fees are deducted from load payments before remittance to carrier
- Detailed invoicing provided for all transactions
- Payment processing within 2 business days of receipt from broker
- Electronic payment methods preferred for efficiency
Disputes and Collections
Payment disputes must be raised within 30 days of invoice date. Unpaid fees may result in service suspension and collection activities. Carriers are responsible for all collection costs and legal fees.
Limitations of Liability
Scope of Services
Truck Relay serves exclusively as a dispatch service provider and booking agent. We are not a motor carrier, freight forwarder, or broker. Our liability is limited to the professional performance of dispatch services only.
Limitation of Damages
Our total liability for any claim is limited to the amount of dispatch fees paid by the carrier in the 30 days preceding the claim. We are not liable for:
- Cargo loss, damage, or theft
- Vehicle accidents or mechanical failures
- Regulatory violations or compliance issues
- Lost profits or business interruption
- Indirect, special, or consequential damages
- Actions of third-party brokers, shippers, or receivers
Force Majeure
We are not liable for service delays or failures caused by circumstances beyond our control, including natural disasters, government actions, labor disputes, or technology failures.
Intellectual Property & Branding
Truck Relay Property
All Truck Relay trademarks, service marks, logos, and proprietary information remain our exclusive property. Carriers may not use our branding except as specifically authorized for service-related communications.
Carrier Information
Carriers retain ownership of their business information and branding. By using our services, you grant us limited rights to use your company information for dispatch services and professional representation to brokers and shippers.
Termination & Suspension of Services
Voluntary Termination
Either party may terminate this agreement with 30 days written notice. Carriers may request immediate termination, subject to completion of any loads in transit and final payment reconciliation.
Termination for Cause
We may immediately suspend or terminate services for:
- Breach of these Terms of Service
- Non-payment of fees or fraudulent activity
- Loss of required licenses, insurance, or certifications
- Unsafe operations or regulatory violations
- Unprofessional conduct damaging our reputation
- Providing false or misleading information
Post-Termination
Upon termination, all outstanding fees become immediately due. We will cooperate in transitioning active loads and provide final accounting within 30 days.
Disclaimers & Limitation of Liability
Service Disclaimers
Our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including:
- Merchantability and fitness for a particular purpose
- Uninterrupted or error-free service
- Specific load volumes or revenue guarantees
- Third-party performance or payment reliability
Market Conditions
Freight markets are subject to fluctuation based on economic conditions, seasonal demand, and other factors beyond our control. We cannot guarantee specific rates, load volumes, or market conditions.
Governing Law & Jurisdiction
Applicable Law
These Terms are governed by the laws of the United States and the state where Truck Relay maintains its principal place of business, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from these Terms or our service relationship will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in English and take place in the state of our principal business location.
Class Action Waiver
Both parties waive the right to participate in class action lawsuits or class-wide arbitrations. All disputes must be resolved on an individual basis.
Changes to These Terms
We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated to active carriers with at least 30 days notice. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.
